IP Firewall Checklist — Protecting Leading the Build™
A working discipline for serving Great Schools NC without handing over the methodology you intend to license. Use it before scoping the 3-session cohort.
The one rule everything else serves
The methodology is your asset ("Background Materials" — yours under the GSNC agreement). But the agreement gives GSNC a perpetual, royalty-free license to your Background Materials whenever they're embedded in "Work Product" you create for them under that contract. So how you build, scope, and label the cohort decides whether you keep your product or give it away.
⚠ The live risk in the cohort outline
Your draft sessions embed nearly the entire methodology — the 4 phases, 3 guiding principles, Queen Bee principle, Leadership Lenses, ownership pathways, Lease Red Flag Checklist, and the simulations. If delivered as Work Product under the current hourly SOW, GSNC gains perpetual free use of all of it for their supported schools. Treat the cohort as licensed curriculum, not bespoke deliverables.
Before you write the SOW
Frame it as a license, not creation. Scope the 3 sessions as GSNC's licensed use of pre-existing 3BRE curriculum — not as new materials prepared specifically for them. (reservation under II.D)
Build the master version outside the engagement. Develop slides, artifacts, and simulations on your own time, in a 3BRE-owned master folder, dated before delivery — so they're demonstrably independent Background Materials.
Add a Background Materials reservation in writing. State in the SOW (via the written-modification process) that all session content, frameworks, slides, simulations, and artifacts are 3BRE Background Materials, licensed for GSNC's internal cohort use only — expressly not Work Product.
Narrow the license grant. Specify: non-exclusive, GSNC supported schools' own facility use only; no recording, no redistribution, no re-teaching without 3BRE, no sublicensing.
Invoice it distinctly — e.g. "curriculum license & facilitation," so the paper trail reflects licensing, not custom build.
How to label everything you share
Footer on every slide and artifact: "© 3BRE LLC · Leading the Build™ · Licensed to Great Schools NC for cohort use only · Not for redistribution."
Share flattened PDFs only — never editable source files, decks, or the interactive app.
Watermark participant take-homes (Strategic Roadmap, Site Search Tracker, Lease Red Flag Checklist) the same way.
Use the ™ consistently and begin trademark registration for "Leading the Build."
What must stay in your hands
The app / software platform. Explicitly reserved and not licensed under the current agreement. (II.C — separate written terms) Demo live or host it yourself; never hand over the files.
Master curriculum, facilitator guides, simulation logic, and scoring keys — the "how it's run," not just the "what."
Anything earmarked for licensing to other state networks later. Keep it out of GSNC deliverables entirely.
What is fine to give
School-specific applied outputs — a particular school's completed roadmap or analysis. That is legitimately their Work Product.
Flattened, watermarked participant artifacts for each school's own facility use.
Ongoing discipline
Keep two folders, always separate: "3BRE Product (Background Materials)" and "GSNC Deliverables (Work Product)." Never let the product live only inside a client deliverable.
Date and version your master files so provenance is provable.
Treat scale as a trigger. The moment GSNC wants to re-run this without you, extend it to more schools, or share across states → that's a separate license agreement, not this SOW.
Have your IP attorney review the SOW language before you sign or amend.
