Terms of Service, Disclaimer, Release, and Confidentiality Terms

These Terms of Service, Disclaimer, Release, and Confidentiality Terms (the “Terms”) govern access to and use of any software, websites, dashboards, tools, templates, models, analyses, documents, methodologies, data, outputs, training materials, and related services made available by 3BRE LLC and its parents, subsidiaries, affiliates, owners, members, managers, officers, employees, contractors, agents, representatives, licensors, successors, and assigns (collectively, “3BRE,” “we,” “us,” or “our”). The software and related materials are referred to collectively as the “Platform.”
By accessing or using the Platform, you and the entity or organization you represent (“User,” “you,” or “your”) agree to these Terms. If you do not agree, do not access or use the Platform.
1. Informational Tool Only; No Professional Advice
The Platform is provided for informational, planning, educational, and internal decision-support purposes only. The Platform does not provide legal, financial, tax, accounting, investment, engineering, architectural, construction, real estate brokerage, environmental, zoning, insurance, or other professional advice.
You are solely responsible for obtaining advice from qualified professionals before making any decision or taking any action based on information generated, displayed, stored, exported, or otherwise made available through the Platform.
2. No Guarantees; User Assumes All Risk
The Platform may include assumptions, estimates, formulas, scenarios, checklists, schedules, budgets, trackers, status indicators, risk indicators, generated outputs, imported data, user-entered data, third-party data, and other information that may be incomplete, inaccurate, outdated, or unsuitable for your circumstances.
3BRE makes no guarantee, representation, warranty, or promise of any kind regarding the accuracy, completeness, reliability, timeliness, availability, security, performance, usefulness, profitability, feasibility, legal compliance, suitability, or outcome of the Platform or any information, data, recommendation, output, or decision made in connection with the Platform.
You understand and agree that you use the Platform entirely at your own risk. You are solely responsible for verifying all inputs, assumptions, outputs, calculations, reports, exports, schedules, budgets, risk indicators, and other information before relying on them.
3. No Warranty
To the maximum extent permitted by law, the Platform is provided “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS,” without warranties of any kind, whether express, implied, statutory, or otherwise. 3BRE expressly disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, availability, and any warranties arising from course of dealing, usage, or trade practice.
4. Limitation of Liability
To the maximum extent permitted by law, 3BRE will not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages; lost profits; lost revenues; lost savings; loss of data; business interruption; reputational harm; project delays; construction cost overruns; financing failures; regulatory, permitting, zoning, or compliance issues; disputes with third parties; or any other losses arising out of or related to your access to or use of the Platform, even if 3BRE has been advised of the possibility of such damages.
To the maximum extent permitted by law, 3BRE’s total aggregate liability for all claims arising out of or related to the Platform or these Terms will not exceed the greater of: (a) amounts actually paid by you to 3BRE specifically for access to the Platform during the three (3) months preceding the event giving rise to the claim; or (b) one hundred dollars ($100).
5. Release and Waiver of Claims
To the maximum extent permitted by law, you knowingly, voluntarily, and irrevocably release, waive, discharge, and covenant not to sue 3BRE for any and all claims, demands, causes of action, liabilities, losses, damages, costs, and expenses of any kind, whether known or unknown, suspected or unsuspected, arising out of or related to your access to, reliance on, or use of the Platform.
This release includes claims relating to alleged inaccuracies, omissions, defects, interruptions, data loss, unauthorized access, project decisions, financial decisions, real estate decisions, construction decisions, operational decisions, or any other decision or action taken by you or any third party based on the Platform.
6. User Responsibility for Data and Decisions
You are responsible for all data, content, assumptions, inputs, files, notes, budgets, schedules, project details, and other information entered into, uploaded to, imported into, or generated through the Platform. You are responsible for maintaining independent backups and records. 3BRE is not responsible for lost, corrupted, incomplete, or unavailable data.
You are solely responsible for all decisions, actions, omissions, communications, transactions, contracts, filings, budgets, designs, construction activities, financing activities, or project management activities undertaken in connection with information from the Platform.
7. Confidentiality and NDA Obligations
The Platform and related materials may include non-public, proprietary, trade-secret, or confidential information belonging to 3BRE or its affiliates, clients, partners, licensors, or vendors (“Confidential Information”). Confidential Information includes the Platform itself; source code and object code; workflows; user interfaces; prompts; templates; formulas; methods; processes; frameworks; business plans; pricing; client information; project information; documentation; training materials; data structures; product roadmaps; and all non-public information disclosed through or in connection with the Platform.
You agree that you will:
- use Confidential Information only for the authorized purpose for which 3BRE provided access;
- not disclose Confidential Information to any person or entity without 3BRE’s prior written consent;
- protect Confidential Information using at least reasonable care and no less care than you use for your own confidential information;
- not copy, publish, distribute, sell, sublicense, transfer, or otherwise exploit Confidential Information except as expressly authorized by 3BRE;
- promptly notify 3BRE of any unauthorized access, use, or disclosure of Confidential Information.
8. No Reverse Engineering or Competitive Use
You agree not to, directly or indirectly: reverse engineer, decompile, disassemble, scrape, crawl, copy, clone, reproduce, translate, adapt, modify, create derivative works from, benchmark for competitive purposes, or attempt to discover the source code, object code, architecture, prompts, models, formulas, workflows, data structures, or underlying ideas of the Platform, except to the extent such restrictions are prohibited by applicable law.
You may not use the Platform or any Confidential Information to build, train, assist, improve, or commercialize any competing product, service, model, workflow, methodology, or software system.
9. Access Control and Authorized Users
You may access the Platform only if authorized by 3BRE. You are responsible for maintaining the confidentiality of usernames, passwords, access links, API keys, tokens, and other credentials. You may not share credentials or allow unauthorized users to access the Platform. 3BRE may suspend or terminate access at any time, with or without notice.
10. Intellectual Property
As between you and 3BRE, 3BRE owns all rights, title, and interest in and to the Platform, including all intellectual property, proprietary methods, workflows, designs, interfaces, templates, frameworks, formulas, content, software, and Confidential Information. No rights are granted except the limited, revocable right to access and use the Platform as authorized by 3BRE and subject to these Terms.
11. User Content License
You retain ownership of information you provide to the Platform, subject to any rights held by your organization or third parties. You grant 3BRE a limited license to host, store, process, transmit, display, and use such information as necessary to operate, maintain, secure, support, and improve the Platform and to provide services to you or your organization.
12. Prohibited Conduct
You may not use the Platform to violate law, infringe rights, upload malicious code, interfere with security, gain unauthorized access, harass or harm others, misrepresent identity, bypass access controls, overload systems, or use the Platform in any manner that 3BRE determines could harm 3BRE, its users, clients, systems, reputation, or business interests.
13. Third-Party Services and Data
The Platform may rely on third-party services, infrastructure, APIs, models, data sources, hosting providers, or integrations. 3BRE is not responsible for third-party acts, omissions, outages, inaccuracies, data handling, or terms. Your use of third-party services may be subject to additional terms.
14. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless 3BRE from and against all claims, damages, liabilities, losses, judgments, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Platform, your data, your decisions, your breach of these Terms, your violation of law, or your infringement or misappropriation of any rights of any third party.
15. Changes to the Platform or Terms
3BRE may modify, suspend, discontinue, restrict, or replace the Platform or these Terms at any time. Continued use of the Platform after changes are posted or otherwise made available constitutes acceptance of the updated Terms.
16. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, unless a written agreement signed by 3BRE states otherwise. Any dispute not barred or released by these Terms must be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue there.
17. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Failure by 3BRE to enforce any provision is not a waiver. You may not assign these Terms without 3BRE’s prior written consent. These Terms, together with any written agreement signed by 3BRE, constitute the entire agreement regarding your access to and use of the Platform.
